Be Neo, LLC (“Be Neo,” “we,” “us,” or “our”) provides a technology platform that facilitates coordination and communication with independent, licensed U.S. healthcare providers for evaluations and, when appropriate, prescriptions. Be Neo is not a healthcare provider, medical group, or pharmacy, and does not practice medicine, nursing, or pharmacy.
The Services may not be appropriate for all conditions or concerns. If you believe you are experiencing a medical emergency, call 911 immediately. Do not use the Services for emergencies.
This Agreement contains provisions that limit our liability and require individual binding arbitration. Please review Sections 6, 9, 10, and 16 carefully.
By accessing or using our website and Services, you agree to be bound by these Terms.
1. Overview of Services, Availability, and Eligibility
The “Services” include: (i) a technology platform offering wellness and educational content; (ii) communication tools allowing you to connect with independent licensed clinicians via partner medical groups; (iii) the secure collection and storage of information you provide; (iv) administrative support for scheduling and payments; and (v) telecommunications support for secure messaging or virtual visits with a healthcare provider.
Some Services are available only in certain U.S. states. If you access the Services from outside the U.S., you do so at your own risk.
The Services are intended for individuals aged 18 or older. By using the Services, you represent that you are at least 18, reside in a state where the Services are available, and agree to these Terms. Meeting eligibility requirements does not guarantee access to Services or prescriptions.
You are responsible for maintaining the necessary devices, software, and internet connection to use the Services.
2. Telehealth and Pharmacy Services
Telehealth involves the electronic transmission of medical information, images, or communications for remote evaluation. By using the Services, you consent to receiving electronic communications regarding your care. While we use safeguards to protect your information, no system is fully secure.
Be Neo does not provide medical services. Medical evaluations, diagnosis, and prescribing decisions are made exclusively by independent clinicians affiliated with our partner medical group (currently Beluga Medical Group). Any medical information provided through the platform—unless coming directly from a clinician—is for informational purposes only.
Service availability varies by state. You will be notified if your state is not eligible.
Be Neo and partner medical groups generally do not accept insurance or federal/state healthcare program reimbursement. You agree to cash-pay terms for all Services.
If a clinician issues a prescription, it may be transmitted to a partner pharmacy, which may include licensed compounding pharmacies. You authorize us to share information needed for dispensing and shipping your medication. Compounded medications may not be FDA-approved in their exact formulation.
3. Account Registration
Some areas of the Services may be accessed without an account, but telehealth features require registration. You agree to provide accurate and current information, safeguard your login credentials, and notify us of any unauthorized access. You are responsible for all activities under your account.
We may suspend or terminate access if inaccurate information or misuse is detected.
4. Privacy
Your privacy is important to us. Please review our Privacy Policy for complete details on how we collect, use, and disclose your information. The Privacy Policy is incorporated into these Terms.
5. Ownership and License
All content, functionality, and features within the Services are owned by Be Neo or its licensors. Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes. All rights not expressly granted are reserved.
6. User Content and License to Be Neo
Except as restricted by the Privacy Policy or applicable law, any information you submit (other than protected health information) may be treated as non-confidential. You grant Be Neo a transferable, sublicensable license to use, modify, analyze, display, and distribute such User Content for operating, improving, or marketing the Services.
We may access or disclose information as required by law or to protect rights, safety, or security.
7. Copyright Notices (DMCA)

8. Prohibited Uses
You agree not to engage in activities such as impersonation, violating laws, reverse engineering, introducing malware, scraping, reselling access, infringing intellectual property, harassing clinicians or staff, bypassing security, or any other misuse of the Services. Encouraging others to violate these Terms is also prohibited.
9. Disclaimer of Warranties
YOU USE THE SERVICES AT YOUR OWN RISK. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, OR SECURITY. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE OR PROTECTION AGAINST CYBER THREATS. RELIANCE ON ANY INFORMATION (OTHER THAN DIRECT MEDICAL ADVICE FROM A CLINICIAN) IS AT YOUR OWN RISK.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BE NEO AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT PAID BY YOU IN THE PREVIOUS 12 MONTHS.
Some jurisdictions do not allow certain limitations, so these may not apply in all cases.
11. Indemnification
You agree to indemnify and hold harmless Be Neo and its partners from claims, damages, losses, or expenses arising from your misuse of the Services, violation of law, or User Content.
12. Third-Party Links and Features
The Services may include third-party websites, content, or features. We do not control or endorse them and are not responsible for their actions or policies. Your use of third-party services is at your own risk.
13. Changes to the Terms and the Services
We may modify these Terms at any time. Updates take effect upon posting unless otherwise required by law. Continued use of the Services constitutes acceptance of the updated Terms.
14. Payments
You agree to pay all fees displayed at checkout. Prices may change.
By submitting payment details, you authorize us and our processors to charge applicable fees, including recurring subscription/refill fees if enrolled.
If payment fails, services may be paused or canceled. Refund policies are disclosed at checkout.
15. Termination
You may stop using the Services at any time. We may suspend or terminate access for any reason, including misuse. Relevant sections survive termination.
16. Governing Law; Dispute Resolution; Arbitration
These Terms are governed by the laws of the State of Wyoming.
Except for limited exceptions (e.g., small claims court), disputes must be resolved through binding, individual arbitration administered by the AAA.
Class actions and jury trials are waived.
A written Notice of Dispute must be sent to support@beneo.co before initiating arbitration.
17. Communications by SMS and Email
By opting in, you authorize us to send transactional or promotional messages. Message/data rates may apply.
You may opt out at any time.
Email and SMS are not encrypted; sending such communications is at your own risk.
18. Miscellaneous
No waiver of rights is implied by our failure to enforce any provision.
These Terms do not create any partnership or agency relationship.
We may seek injunctive relief for unauthorized use.
You may not assign these Terms; we may assign them in connection with a merger or similar event.
These Terms constitute the entire agreement between you and Be Neo.

20. Additional Terms for Be Neo Treatment Plan Services
If you pursue a treatment plan, the following apply:
You must complete an online medical assessment. A licensed clinician will review your submission to determine eligibility. Prescription decisions are made solely by clinicians.
Pricing and payment terms are disclosed at checkout. Be Neo operates on a cash-pay basis.
If enrolled in subscription refills, your payment method will be automatically charged according to the disclosed schedule.
Prescriptions are transmitted to licensed partner pharmacies for compounding, dispensing, and shipping.
Treatment programs may be modified or discontinued at any time.
